Registration begins with the activity

Sijilat integrates the commercial register, licensing and interaction with government authorities. Before choosing a company form, the actual operations must be defined: trading, consulting, manufacturing, finance, asset holding or a regional office. Some activities are directly available to foreign investors, while others carry conditions or prior approvals.

A commercial registration without the required activity licence does not authorise operations. Activity codes, premises, management qualifications, foreign ownership, capital and regulator approvals should therefore be checked before filing.

Main forms of presence

A WLL is commonly used as a privately held limited-liability operating company. A Bahrain Shareholding Company may suit more complex capital and governance. A foreign branch can extend the parent’s activity but does not separate the parent from local obligations.

The form determines governance, reporting, profit distribution, ownership changes and business closure. For an international family, the ownership interest also needs to fit succession and the wider holding or family structure.

Tax: avoid the headline-only approach

Bahrain applies a 10% standard VAT rate, while specified supplies may be zero-rated, exempt or outside scope. Financial services can also receive different treatment depending on whether consideration is interest, a margin, commission or a management fee.

The absence of a general corporate income tax for most ordinary businesses does not remove tax analysis. Oil and gas, the domestic minimum top-up tax for in-scope multinational groups, VAT, social charges, customs, owner-country tax and permanent-establishment exposure may all be relevant.

Trademarks and commercial rights

The Ministry of Industry and Commerce provides electronic services for filing and maintaining trademarks. The owner, classes, Arabic and Latin versions, similar marks and geographic use should be reviewed before filing.

Where the brand belongs to a foreign company, the licence model should match the parties’ actual functions and expenditure. Royalties, management fees and other payments require coordinated review of the agreement, transfer pricing, VAT and the recipient-country rules.
